Partner Terms of Service

These Partner Terms of Service ("Agreement") govern your use of the GPS tracking platform services provided by the Platform ("we", "us", or "our"). By clicking "I Agree" or by using our services, you ("Partner", "you", or "your") agree to be bound by these terms.

1. Definitions

  • Platform: The GPS tracking software-as-a-service platform and associated services.
  • Partner: A business entity that has agreed to these terms and uses the Platform to provide tracking services to End Users.
  • End User: An individual or entity that uses tracking services through a Partner's account.
  • Device: A GPS tracking device managed through the Platform.

2. Service Description

We provide a white-label GPS tracking platform that enables Partners to offer tracking services to their End Users. The Platform includes device management, real-time tracking, geofencing, billing management, and related functionality.

3. Partner Obligations

As a Partner, you agree to:

  • Provide accurate business information during registration and keep it updated.
  • Comply with all applicable laws and regulations in your jurisdiction.
  • Maintain appropriate terms of service and privacy policies for your End Users.
  • Ensure your End Users' use of the Platform complies with these terms.
  • Not resell, sublicense, or redistribute the Platform except as expressly permitted.
  • Maintain the confidentiality of your account credentials.

4. Billing and Payment

By upgrading from a trial account, you agree to:

  • Pay all fees according to the pricing plan in effect at the time of billing.
  • Maintain a valid payment method on file at all times.
  • The high-water mark billing model, where you are billed for the peak number of active devices during each billing period.
  • Monthly minimum charges as specified in your pricing plan.
  • Processing fees for credit card payments, if applicable.

5. Payment Failure and Suspension

If payment fails:

  • We will attempt to retry the payment and notify you of the failure.
  • After a grace period, your account may be placed in limited status, restricting new activations.
  • Continued non-payment may result in account suspension.
  • You remain liable for all fees incurred during any period of service.

6. Acceptable Use

You agree not to use the Platform to:

  • Track individuals without their knowledge or consent.
  • Violate any applicable laws, including privacy and data protection regulations.
  • Engage in any activity that could harm the Platform or other users.
  • Attempt to gain unauthorized access to any systems or data.

7. Data and Privacy

You acknowledge that you are responsible for your End Users' data and must comply with all applicable data protection laws. We process data as a service provider on your behalf.

8. Intellectual Property

The Platform and all associated intellectual property remain our exclusive property. You receive a limited, non-exclusive license to use the Platform in accordance with these terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REGARDLESS OF THE CAUSE OF ACTION.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Platform or violation of these terms.

11. Termination

Either party may terminate this Agreement with 30 days written notice. We may suspend or terminate your account immediately for violation of these terms. Upon termination, you remain liable for all outstanding fees.

12. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or through the Platform. Continued use after changes constitutes acceptance of the modified terms.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to conflict of law principles.
